Apex Media Studios provides the following services:
You are responsible for providing accurate and complete information required for the provision of our services. This includes, but is not limited to, project details, brand guidelines, feedback, and approvals. You are also responsible for ensuring that you have the necessary rights and permissions for any content (e.g., music, images, footage) provided to us for use in your project.
Project timelines will be agreed upon at the outset of each project and are subject to change based on client feedback, revisions, and unforeseen circumstances. Apex Media Studios will make every effort to adhere to agreed-upon timelines, but we are not liable for delays caused by factors beyond our control.
Payment terms will be specified in the project proposal. Typically, a deposit is required to initiate the project, with the remaining balance due upon completion and delivery of the final product. Late payments may be subject to interest charges. We accept payments via bank transfer, credit card, and other methods as specified in the invoice.
Unless otherwise agreed upon in writing, Apex Media Studios retains ownership of all original creative work produced during the project, including raw footage, unedited photographs, and design files. Upon full payment, you will receive a license to use the final deliverables for the purposes outlined in the project agreement. Additional usage rights may be negotiated.
You retain ownership of any content you provide to us. By providing content, you grant Apex Media Studios a non-exclusive license to use, modify, and reproduce the content for the purpose of providing the agreed-upon services.
You are responsible for ensuring that all content provided to Apex Media Studios does not infringe upon the copyright, trademark, or other intellectual property rights of any third party. You agree to indemnify and hold Apex Media Studios harmless from any claims arising out of your breach of this provision.
To the fullest extent permitted by law, Apex Media Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of our services.
Apex Media Studios is not responsible for any interruptions or disruptions to our services caused by factors beyond our control, such as internet outages, equipment failures, or force majeure events.
While we strive to provide accurate and reliable information, Apex Media Studios makes no warranties or representations about the accuracy or completeness of the content created. You are responsible for verifying the accuracy of any information before relying on it.
Apex Media Studios agrees to keep confidential any proprietary or confidential information provided by you. We will not disclose your confidential information to any third party without your prior written consent, except as required by law.
Either party may terminate the project agreement with written notice if the other party breaches these Terms and Conditions. Upon termination, you will be responsible for paying for any services rendered up to the date of termination.
Apex Media Studios reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after the posting of any changes constitutes your acceptance of the revised Terms and Conditions.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to expressing the intention of the original provision.
No waiver of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
Apex Media Studios shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Apex Media Studios' reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
These Terms and Conditions constitute the entire agreement between you and Apex Media Studios relating to the subject matter herein and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Apex Media Studios with respect to the services provided.
